Zausner Foods Corp, a subsidiary of Savencia Fromage and Dairy, a $5 billion global cheese & dairy group headquartered in Paris, France, is looking for a highly motivated candidate to fill the position of Deputy General Counsel.

Under the supervision of the General Counsel,  this position will be responsible for a broad range of legal matters and advice to all Savencia US entities, interacting with multi-level members of management, and accomplishing various legal tasks with moderate supervision.

Responsibility areas include contract management, contract negotiation, mergers and acquisitions, food manufacturing regulations, employment matters, ethics, confidentiality, and intellectual property.


 All-Purpose Generalist: Partner with the General Counsel in evaluating risks and devising creative, practical solutions to a variety of legal issues as they arise, including matters of first impression.

Commercial Contracts/Management: Takes point on structuring, redlining, drafting, and negotiating commercial contracts of all kinds, including co-manufacturing, retail, foodservice, supply, distribution, sales, licensing,  employment agreements, NDAs.

Transactions: Support financings, M&A, and other transactional opportunities by identifying commercial, regulatory, and tax risks, running due diligence, and helping draft and negotiate definitive and ancillary agreements, partnering with (i) outside counsel as needed and (ii) under  the supervision of the Group M&A Legal Manager/General Counsel.

Outside  Counsel Management: Assists with management of outside counsel on various matters, including state and federal employment-related administrative charges, demand letters, claims, and litigation, to ensure high-quality, cost-effective service.

Cross-Functional Collaboration: Educate, collaborate with, and serve as a go-to resource in connection with production, sales, marketing, R&D, and operations initiatives.


  • J.D. with an excellent academic record from an accredited law school.
  • Minimum of 5 years of experience in a top law firm and/or corporate legal department required.
  • Significant experience reviewing, structuring, drafting, and negotiating a wide range of complex commercial contracts and transactions, especially contracts common in the CPG industry and documents related to mergers and acquisitions.
  • Experience with food regulatory issues and compliance (FDA, state regulatory schemes), or experience operating in a comparable regulatory environment.
  • Working knowledge of IP law, particularly domestic and international trademark and patent prosecution (preferred but not required).
  • Exceptionally professional written and verbal communication and presentation skills.
  • Exceptional ability to multitask, prioritize, and digest multiple perspectives and data-points.
  • Experience with international transactions and trade.
  • Ability to understand general business operations, issues, and dynamics beyond the scope of basic legal issues.
  • Strong presentation and computer skills, including proficiency with Microsoft Office products (Word, PowerPoint & Excel).

Location For This Role:  Remote work possible with periodic travel to offices in New Holland, Pennsylvania and Wilmington, Delaware.
